Teminat g\u00f6sterilmesine duyulan ihtiya\u00e7, ticari hayatta banka teminat mektuplar\u0131n\u0131 ortaya \u00e7\u0131karm\u0131\u015f ve bu mektuplar\u0131n kullan\u0131lmas\u0131 yayg\u0131nl\u0131k kazanm\u0131\u015ft\u0131r. Banka teminat mektuplar\u0131n\u0131n tercih edilmesinde ise alaca\u011f\u0131n g\u00fcvenli ve h\u0131zl\u0131 bir \u015fekilde tahsil edilebilir olmas\u0131 \u00f6nemli bir rol oynamaktad\u0131r.\u00a0\u00a0\u00a0<\/span><\/p>\n<ul>\n<li aria-level=\"1\"><b>Banka teminat mektuplar\u0131nda \u00fc\u00e7l\u00fc bir ili\u015fki bulunmaktad\u0131r.\u00a0<\/b><\/li>\n<\/ul>\n<p>&nbsp;<\/p>\n<ul>\n<li style=\"list-style-type: none;\">\n<ul>\n<li aria-level=\"1\"><span style=\"font-weight: 400;\">Banka teminat mektuplar\u0131nda teminat veren, bankad\u0131r. Bankan\u0131n, lehine teminat vererek, edimini yerine getirememe riskini \u00fcstlendi\u011fi ki\u015fi (lehtar) bor\u00e7lu, alaca\u011f\u0131 teminat alt\u0131na al\u0131nan ki\u015fi ise (muhatap) alacakl\u0131d\u0131r.\u00a0<\/span><\/li>\n<\/ul>\n<\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>Banka teminat mektuplar\u0131, \u00e7e\u015fitli sebeplerle d\u00fczenlenebilmektedir. \u00d6nemli olan riskin nakdi kar\u015f\u0131l\u0131\u011f\u0131n\u0131n belirlenebilir olmas\u0131d\u0131r. \u00d6rne\u011fin;<\/b>\n<ul>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Banka teminat mektuplar\u0131 nakit bir alaca\u011f\u0131n tahsilini g\u00fcvence alt\u0131na almak i\u00e7in d\u00fczenlenebilir.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Kamu \u0130hale Kanunu kapsam\u0131nda y\u00fcklenicinin \u00fcstlenmi\u015f oldu\u011fu i\u015f i\u00e7in teminat vermesi gerekti\u011finde banka teminat mektubu sunulabilir.\u00a0<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">T\u00fcketicinin Korunmas\u0131 Hakk\u0131nda Kanun uyar\u0131nca sat\u0131c\u0131n\u0131n konut sat\u0131\u015f\u0131na ba\u015flamadan \u00f6nce, konut adedinin otuz ve \u00fczerinde olan projeler i\u00e7in bina tamamlama sigortas\u0131 yapt\u0131rmas\u0131 veya teminat sunma zorunlulu\u011fu bulunmaktad\u0131r. Banka teminat mektubu da sunulabilecek teminat t\u00fcrleri aras\u0131nda yer almaktad\u0131r.\u00a0<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">\u0130cra ve \u0130flas Kanunu\u2019na g\u00f6re, bor\u00e7lunun icra takibine etti\u011fi itiraz\u0131 ge\u00e7ici olarak kald\u0131r\u0131ld\u0131\u011f\u0131nda, bor\u00e7lunun bor\u00e7tan kurtulma davas\u0131 a\u00e7abilmesi i\u00e7in alaca\u011f\u0131n y\u00fczde on be\u015fini kar\u015f\u0131layacak tutarda teminat sunmas\u0131 gerekmektedir. Bu teminat, banka teminat mektubu ile verilebilir.\u00a0<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">\u00d6nemle belirtmek gerekir ki, yukar\u0131da say\u0131lan durumlar, \u00f6rnekseyici say\u0131m ilkesi do\u011frultusunda \u00f6rnek g\u00f6sterilmi\u015ftir. Banka teminat mektuplar\u0131 yukar\u0131daki durumlardan farkl\u0131 \u015fekillerde de d\u00fczenlenebilecektir.<\/span><\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<ul>\n<li aria-level=\"1\"><b>Banka teminat mektuplar\u0131 a\u011f\u0131rl\u0131kl\u0131 g\u00f6r\u00fc\u015fe g\u00f6re garanti s\u00f6zle\u015fmesi niteli\u011findedir.<\/b><\/li>\n<\/ul>\n<p>&nbsp;<\/p>\n<ul>\n<li style=\"list-style-type: none;\">\n<ul>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Banka teminat mektuplar\u0131n\u0131n hukuki niteli\u011fi hakk\u0131nda T\u00fcrk doktrini ve uygulamas\u0131nda tart\u0131\u015fma olmakla birlikte Yarg\u0131tay \u0130\u00e7tihatlar\u0131 Birle\u015ftirme Hukuk Genel Kurulu taraf\u0131ndan verilen 27.12.2017 tarihli 2016\/1 E. \u2013 2017\/6 K. say\u0131l\u0131 kararda ge\u00e7mi\u015f i\u00e7tihad\u0131 birle\u015ftirme kararlar\u0131na at\u0131f yap\u0131larak banka teminat mektuplar\u0131n\u0131n garanti s\u00f6zle\u015fmesi say\u0131lmas\u0131 gerekti\u011fi kabul edilmi\u015ftir. Dolay\u0131s\u0131yla banka, banka teminat mektubu d\u00fczenleyerek as\u0131l bor\u00e7tan ba\u011f\u0131ms\u0131z bir y\u00fck\u00fcml\u00fcl\u00fck alt\u0131na girmektedir.\u00a0<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Dolay\u0131s\u0131yla, banka teminat mektubu i\u00e7erisine, mektubun kefalet niteli\u011finde oldu\u011fu a\u00e7\u0131k\u00e7a yaz\u0131lmam\u0131\u015fsa, T\u00fcrk hukukundaki yakla\u015f\u0131m gere\u011fi banka teminat mektuplar\u0131 \u201cgaranti\u201d say\u0131lacakt\u0131r.<\/span><\/li>\n<\/ul>\n<\/li>\n<li aria-level=\"1\"><b>Banka teminat mektuplar\u0131 farkl\u0131 t\u00fcrlerde d\u00fczenlenebilmektedir. Ancak uygulamada s\u0131kl\u0131kla \u015farts\u0131z banka teminat mektuplar\u0131yla kar\u015f\u0131la\u015f\u0131lmaktad\u0131r.<\/b>\n<ul>\n<li aria-level=\"1\"><span style=\"font-weight: 400;\">Vadelerine, banka limitlerine ve kullan\u0131lacaklar\u0131 alana g\u00f6re teminat mektuplar\u0131 farkl\u0131 t\u00fcrlerde d\u00fczenlenebilmektedir. Dolay\u0131s\u0131yla, <\/span><i><span style=\"font-weight: 400;\">s\u00fcreli (vadeli), s\u00fcresiz (vadesiz), \u015farta ba\u011fl\u0131, \u015farts\u0131z, do\u011frudan <\/span><\/i><span style=\"font-weight: 400;\">ve <\/span><i><span style=\"font-weight: 400;\">dolayl\u0131 <\/span><\/i><span style=\"font-weight: 400;\">olarak adland\u0131r\u0131lan, farkl\u0131 banka teminat mektubu t\u00fcrleri bulunmaktad\u0131r.<\/span><\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<ul>\n<li style=\"list-style-type: none;\">\n<ul>\n<li aria-level=\"1\"><span style=\"font-weight: 400;\">Uygulamada s\u0131kl\u0131kla kar\u015f\u0131la\u015f\u0131lan banka teminat mektubu t\u00fcr\u00fc, ilk talepte \u00f6deme kay\u0131tl\u0131 (\u015farts\u0131z) teminat mektuplar\u0131d\u0131r. Bu mektup t\u00fcr\u00fcnde, alacakl\u0131n\u0131n talebi \u00fczerine, banka, derhal \u00f6deme yapmay\u0131 taahh\u00fct etmektedir. B\u00f6ylece bankan\u0131n \u00f6deme yapmas\u0131 i\u00e7in hi\u00e7bir \u015fart aranmad\u0131\u011f\u0131ndan alacak h\u0131zl\u0131 ve g\u00fcvenli bir \u015fekilde tahsil edilebilecektir. Bu nedenle, bu banka teminat mektubu tercih edilen bir t\u00fcrd\u00fcr.<\/span><\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<ul>\n<li style=\"list-style-type: none;\">\n<ul>\n<li aria-level=\"1\"><span style=\"font-weight: 400;\">Daha \u00f6nce belirtti\u011fimiz \u00fczere, \u00f6n \u00f6demeli konut sat\u0131\u015flar\u0131nda konut adedi otuz ve \u00fczerinde ise sat\u0131c\u0131n\u0131n teminat sa\u011flama y\u00fck\u00fcml\u00fcl\u00fc\u011f\u00fc bulunmaktad\u0131r. Ancak, sat\u0131c\u0131 bu teminat\u0131, banka teminat mektubu vererek sa\u011flayacaksa \u00d6n \u00d6demeli Konut Sat\u0131\u015f\u0131 Y\u00f6netmeli\u011fi gere\u011fi bu banka teminat mektubunun \u201cilk talepte \u00f6deme kay\u0131tl\u0131\u201d, \u201ckesin\u201d ve \u201cs\u00fcresiz\u201d olmas\u0131 gereklidir.<\/span><\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<ul>\n<li aria-level=\"1\"><b>Banka teminat mektuplar\u0131n\u0131n s\u00fcreli olmas\u0131 durumunda, teminat\u0131n tazmini i\u00e7in bankaya, mektupta belirtilen s\u00fcre i\u00e7erisinde yaz\u0131l\u0131 bir ba\u015fvuruda bulunulmas\u0131 gerekmektedir.<\/b><\/li>\n<\/ul>\n<ul>\n<li style=\"list-style-type: none;\">\n<ul>\n<li aria-level=\"1\"><span style=\"font-weight: 400;\">Yarg\u0131tay \u0130\u00e7tihatlar\u0131 Birle\u015ftirme Hukuk Genel Kurulu taraf\u0131ndan verilen 11.06.1969 tarihli ve 1969\/4 E. \u2013 1969\/6 K. say\u0131l\u0131 kararda banka teminat mektuplar\u0131n\u0131n niteli\u011fi, T\u00fcrk Bor\u00e7lar Kanunu kapsam\u0131nda \u00fc\u00e7\u00fcnc\u00fc ki\u015finin fiilini \u00fcstlenme olarak nitelendirilmi\u015ftir.<\/span> <span style=\"font-weight: 400;\">Bu sebeple, teminat\u0131n paraya \u00e7evrilebilmesi i\u00e7in belirtilen s\u00fcre i\u00e7erisinde muhatap taraf\u0131ndan yaz\u0131l\u0131 olarak bankaya ba\u015fvuruda bulunulmas\u0131 gerekmektedir.\u00a0<\/span><\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<ul>\n<li style=\"list-style-type: none;\">\n<ul>\n<li aria-level=\"1\"><span style=\"font-weight: 400;\">Banka teminat mektubunda belirtilen s\u00fcre i\u00e7erisinde teminat alt\u0131na al\u0131nan risk ger\u00e7ekle\u015fmez veya risk ger\u00e7ekle\u015fir de muhatap taraf\u0131ndan s\u00fcresi i\u00e7erisinde bankaya yaz\u0131l\u0131 olarak ba\u015fvuruda bulunulmazsa banka teminat mektubu ge\u00e7ersiz olacakt\u0131r.\u00a0<\/span><\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<ul>\n<li aria-level=\"1\"><b>Banka teminat mektuplar\u0131n\u0131n paraya \u00e7evrilmesi i\u00e7in mektubun verilme sebebi olan risk ger\u00e7ekle\u015fmelidir.<\/b><\/li>\n<\/ul>\n<ul>\n<li style=\"list-style-type: none;\">\n<ul>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Banka teminat mektuplar\u0131n\u0131n paraya \u00e7evrilmesi i\u00e7in \u00f6ncelikle tazmini garanti edilen risk ger\u00e7ekle\u015fmelidir. Risk, bor\u00e7lunun borcunu \u00f6deyememesidir. Bu sebeple mektuplar\u0131n i\u00e7eri\u011fine, ilgili ihale, s\u00f6zle\u015fme, \u015fartname gibi hususlara, temel bor\u00e7 ili\u015fkisine dair hususlara ayk\u0131r\u0131l\u0131k halinde veyahut da lehtar\u0131n her ne sebeple olursa olsun borcunu \u00f6deyememesi \u00fczerine garanti edilen miktar\u0131n \u00f6denece\u011fi yaz\u0131lmaktad\u0131r. Bu a\u015famada hat\u0131rlatmak isteriz ki her mektupta \u201cher ne sebeple olursa olsun\u201d gibi kay\u0131ts\u0131z \u015farts\u0131z bor\u00e7 \u00f6deme taahh\u00fcd\u00fc, genellikle talep \u00fczerine yaz\u0131lmaktad\u0131r. Bu nedenle mektup i\u00e7eri\u011finde yer alan ifadelere \u00f6zellikle dikkat edilmesi \u00f6nerilmektedir.<\/span><\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<ul>\n<li aria-level=\"1\"><b>Alacakl\u0131 taraf\u0131ndan risk ger\u00e7ekle\u015fmedi\u011fi halde banka teminat mektubunun paraya \u00e7evrilmesi talebinde bulunulabilir mi?\u00a0<\/b><\/li>\n<\/ul>\n<ul>\n<li style=\"list-style-type: none;\">\n<ul>\n<li aria-level=\"1\"><span style=\"font-weight: 400;\">Banka teminat mektubunun konusu teminat alt\u0131na al\u0131nan riskin ger\u00e7ekle\u015fmesi oldu\u011fundan, banka taraf\u0131ndan alacakl\u0131ya \u00f6deme yap\u0131labilmesi i\u00e7in alacakl\u0131n\u0131n yaz\u0131l\u0131 ba\u015fvurusuna ek olarak riskin ger\u00e7ekle\u015fmesi de gerekecektir.\u00a0<\/span><\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<ul>\n<li style=\"list-style-type: none;\">\n<ul>\n<li aria-level=\"1\"><span style=\"font-weight: 400;\">Uygulamada s\u0131kl\u0131kla kar\u015f\u0131la\u015f\u0131ld\u0131\u011f\u0131n\u0131 ifade etti\u011fimiz, ilk talepte \u00f6deme kay\u0131tl\u0131, \u015farts\u0131z banka teminat mektuplar\u0131nda hi\u00e7bir \u015fart aranmad\u0131\u011f\u0131ndan, risk ger\u00e7ekle\u015fmemesine ra\u011fmen bankaya ba\u015fvurulmas\u0131 durumunda banka \u00f6deme yapacakt\u0131r. Dolay\u0131s\u0131yla bu t\u00fcr banka teminat mektubunu elinde bulunduran alacakl\u0131n\u0131n risk ger\u00e7ekle\u015fmeden de bankaya ba\u015fvurabilece\u011fini ve bankan\u0131n \u00f6deme yapabilece\u011fini unutmamak gerekir.\u00a0<\/span><\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<ul>\n<li style=\"list-style-type: none;\">\n<ul>\n<li aria-level=\"1\"><span style=\"font-weight: 400;\">Alacakl\u0131n\u0131n risk ger\u00e7ekle\u015fmeden veya s\u00fcre dolmadan bankaya ba\u015fvurmas\u0131 hakk\u0131n k\u00f6t\u00fcye kullan\u0131lmas\u0131 olarak de\u011ferlendirilebilir. Bu gibi durumlarda bankan\u0131n \u00f6deme yapmaktan ka\u00e7\u0131nabilmesi, alacakl\u0131n\u0131n yapt\u0131\u011f\u0131 ba\u015fvurunun haks\u0131z oldu\u011funun ispat\u0131na ba\u011fl\u0131d\u0131r. Dolay\u0131s\u0131yla, bu gibi durumlarda banka taraf\u0131ndan ba\u015fvurunun haks\u0131z oldu\u011fu, ancak a\u00e7\u0131k\u00e7a tespit edilebiliyorsa banka \u00f6deme yapmaktan ka\u00e7\u0131nabilecektir.\u00a0\u00a0<\/span><\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<ul>\n<li aria-level=\"1\"><b>T\u00fcrk bankalar\u0131n\u0131n d\u00f6viz cinsinden banka teminat mektubu d\u00fczenlemesi m\u00fcmk\u00fcnd\u00fcr.<\/b><\/li>\n<\/ul>\n<p>&nbsp;<\/p>\n<ul>\n<li style=\"list-style-type: none;\">\n<ul>\n<li aria-level=\"1\"><span style=\"font-weight: 400;\">Bakanlar Kurulu\u2019nun 32 say\u0131l\u0131 karar\u0131n\u0131n 18.maddesi ile, bankalar\u0131n, T\u00fcrkiye d\u0131\u015f\u0131nda yerle\u015fik ki\u015filerin lehtar, T\u00fcrkiye\u2019de yerle\u015fik ki\u015filerin alacakl\u0131 oldu\u011fu durumlarda ve yurt i\u00e7inde a\u00e7\u0131lacak uluslararas\u0131 ihalelerle ilgili olarak T\u00fcrkiye\u2019de yerle\u015fik ki\u015filerin hem lehtar hem alacakl\u0131 oldu\u011fu hallerde d\u00f6viz \u00fczerinden teminat mektubu d\u00fczenlemesi m\u00fcmk\u00fcnd\u00fcr. G\u00f6r\u00fclmektedir ki, yurt i\u00e7inde a\u00e7\u0131lacak uluslararas\u0131 ihale haricinde bankalar, d\u0131\u015far\u0131da yerle\u015fik ki\u015filerin lehtar, T\u00fcrkiye\u2019de yerle\u015fik ki\u015filerin alacakl\u0131 oldu\u011fu durumlarda d\u00f6viz cinsinden banka teminat mektubu d\u00fczenleyememektedir.<\/span><\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<p>&nbsp;<\/p>\n<ul>\n<li aria-level=\"1\"><b>Yabanc\u0131 bankalar\u0131n T\u00fcrkiye ile ilgili i\u015flerde banka teminat mektubu d\u00fczenlemesi m\u00fcmk\u00fcnd\u00fcr.\u00a0<\/b><\/li>\n<\/ul>\n<ul>\n<li style=\"list-style-type: none;\">\n<ul>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Yabanc\u0131 bankan\u0131n, alacakl\u0131n\u0131n T\u00fcrkiye\u2019de, bor\u00e7lunun ise T\u00fcrkiye d\u0131\u015f\u0131nda yerle\u015fik oldu\u011fu durumlarda do\u011frudan teminat mektubu vermesi m\u00fcmk\u00fcn olmas\u0131na kar\u015f\u0131l\u0131k, uygulamada yabanc\u0131 bankan\u0131n T\u00fcrk bankas\u0131na verdi\u011fi kontrgarantiye dayanarak T\u00fcrk bankas\u0131nca teminat mektubu verildi\u011fi g\u00f6r\u00fclmektedir. Kontrgaranti, genel anlamda verilen taahh\u00fcd\u00fcn bir ba\u015fkas\u0131 taraf\u0131ndan garanti alt\u0131na al\u0131nmas\u0131d\u0131r. Bu tan\u0131m, yabanc\u0131 bankalar\u0131n d\u00fczenledi\u011fi banka teminat mektuplar\u0131na uyarlanacak olursa, T\u00fcrk bankas\u0131 taraf\u0131ndan alacakl\u0131ya yap\u0131lan \u00f6demenin, T\u00fcrk bankas\u0131na, kontrgaranti veren yabanc\u0131 banka taraf\u0131ndan \u00f6denece\u011fi sonucuna ula\u015fmak m\u00fcmk\u00fcn olacakt\u0131r.<\/span><\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<ul>\n<li aria-level=\"1\"><b>Banka teminat mektuplar\u0131 verilirken, mektubun beraberinde teyit mektubu verilmesi, sahte d\u00fczenlenmi\u015f banka teminat mektuplar\u0131n\u0131n ay\u0131rt edilmesi bak\u0131m\u0131ndan \u00f6nem arz etmektedir.\u00a0<\/b><\/li>\n<\/ul>\n<ul>\n<li style=\"list-style-type: none;\">\n<ul>\n<li aria-level=\"1\"><span style=\"font-weight: 400;\">Uygulamada, banka teminat mektuplar\u0131n\u0131n sahte bir \u015fekilde d\u00fczenlenmesinin \u00f6nlenmesi amac\u0131yla, banka teminat mektubu d\u00fczenleyen bankan\u0131n iki yetkilisinin imzalad\u0131\u011f\u0131 bir teyit mektubunun, banka teminat mektubuyla birlikte d\u00fczenlendi\u011fi g\u00f6r\u00fclmektedir.
