Rekabet yasa\u011f\u0131 6098 say\u0131l\u0131 Bor\u00e7lar Kanunu\u2019nun 444.maddesinde d\u00fczenlenmi\u015f olup ilgili yasak do\u011frultusunda i\u015f\u00e7i i\u015fverene kar\u015f\u0131 i\u015f s\u00f6zle\u015fmesinin sona ermesinden sonra herhangi bir \u015fekilde i\u015fveren ile rekabet etmekten, kendi hesab\u0131na rakip bir i\u015fletme a\u00e7maktan, ba\u015fka bir rakip i\u015fletmede \u00e7al\u0131\u015fmaktan, veya rakip i\u015fletmeyle ba\u015fka t\u00fcrden bir menfaat ili\u015fkisine girmekten ka\u00e7\u0131nmay\u0131 yaz\u0131l\u0131 olarak \u00fcstlenebilir. Rekabet yasa\u011f\u0131 s\u00f6zle\u015fmesi i\u015f\u00e7inin ekonomik menfaatlerine ve \u00f6zg\u00fcrl\u00fc\u011f\u00fcne belirli s\u0131n\u0131rlamalar getirmektedir bu sebeple bir tak\u0131m ge\u00e7erlilik \u015fartlar\u0131 mevcuttur. \u015e\u00f6yle ki;<\/span><\/p>\n<p><span style=\"font-weight: 400;\">6098 say\u0131l\u0131 T\u00fcrk Bor\u00e7lar Kanunu\u2019nun 445.maddesi uyar\u0131nca rekabet yasa\u011f\u0131n\u0131n i\u015f\u00e7inin ekonomik gelece\u011fini hakkaniyete ayk\u0131r\u0131 olarak tehlikeye d\u00fc\u015f\u00fcrecek \u015fekilde yer, zaman ve i\u015flerin t\u00fcr\u00fc bak\u0131m\u0131ndan uygun olmayan s\u0131n\u0131rlamalar i\u00e7ermemesi gerekmektedir. Ayn\u0131 zamanda rekabet yasa\u011f\u0131n\u0131n s\u00fcresi \u00f6zel durum ve ko\u015fullar haricinde iki y\u0131l\u0131 a\u015famamaktad\u0131r. Rekabet yasa\u011f\u0131 s\u00f6zle\u015fmesinde bulunan s\u00f6z konusu \u015fartlar emredici nitelikte olup bu ko\u015fullardan birinin bulunmamas\u0131 halinde ge\u00e7erli bir rekabet yasa\u011f\u0131 s\u00f6zle\u015fmesinden bahsetmek m\u00fcmk\u00fcn olmaz. Ge\u00e7erli bir rekabet yasa\u011f\u0131 s\u00f6zle\u015fmesi i\u00e7in gerekli \u015fartlar\u0131n mevcut oldu\u011funu ispat y\u00fck\u00fc ise i\u015fverene aittir. Bu do\u011frultuda zaman, yer ve konu s\u0131n\u0131rlamalar\u0131na dikkat \u00e7ekilmesi gerekmektedir.\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400;\">Konu bak\u0131m\u0131ndan yap\u0131lan s\u0131n\u0131rlama: \u0130\u015fverene ait faaliyet alan\u0131 ve i\u015fverenin \u00f6\u011frendi\u011fi mesleki bilgi ile s\u0131n\u0131rl\u0131 olarak yorumlanmaktad\u0131r. S\u0131n\u0131rland\u0131r\u0131lan faaliyet alan\u0131 i\u015f ili\u015fkisinin sona erdi\u011fi tarihte i\u015fverenin haiz oldu\u011fu faaliyet alan\u0131na uygun ve \u00f6l\u00e7\u00fcl\u00fc olmal\u0131d\u0131r.\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400;\">Zaman bak\u0131m\u0131ndan yap\u0131lan s\u0131n\u0131rlama: \u00d6zel durum ve ko\u015fullar alt\u0131nda iki y\u0131l\u0131 a\u015famaz. Bu noktada i\u015f\u00e7inin ekonomik menfaatleri ile i\u015fverenin meslek s\u0131rlar\u0131na ili\u015fkin menfaatleri aras\u0131nda denge kurulmas\u0131 \u00f6nemlidir.\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400;\">Yer bak\u0131m\u0131ndan yap\u0131lan s\u0131n\u0131rlama: Yasaklanan alan\u0131n i\u015fverenin faaliyet g\u00f6sterdi\u011fi co\u011frafi alana uyumlu ve \u00f6l\u00e7\u00fcl\u00fc olmas\u0131 ve i\u015fverenin m\u00fc\u015fteri \u00e7evresiyle ilgili olmas\u0131 gereklidir.\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400;\">Belirtmek gerekir ki, rekabet yasa\u011f\u0131na ili\u015fkin s\u0131n\u0131rlamalar i\u015f\u00e7inin kalifiye \u00f6zellikleri, meslek s\u0131rlar\u0131na h\u00e2kimiyeti ve i\u015fverenin kendi faaliyet alan\u0131nda ne derece ve kapsamda uzmanla\u015ft\u0131\u011f\u0131 gibi de\u011fi\u015fken unsurlarla yak\u0131ndan ili\u015fkilidir.\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400;\">Bor\u00e7lar Kanunu\u2019nun 446.maddesi uyar\u0131nca rekabet yasa\u011f\u0131na ayk\u0131r\u0131 davranan i\u015f\u00e7i bunun sonucu olarak i\u015fverenin u\u011frad\u0131\u011f\u0131 b\u00fct\u00fcn zarar\u0131 gidermekle y\u00fck\u00fcml\u00fcd\u00fcr. S\u00f6zle\u015fmede yasa\u011fa ayk\u0131r\u0131 bir davran\u0131\u015f\u0131n ceza ko\u015fuluna da ba\u011flanm\u0131\u015f olmas\u0131 m\u00fcmk\u00fcnd\u00fcr.
